GENERAL TERMS AND CONDITIONS FOR PURCHASERS OF PROLAB Sports GmbH ("TERMS AND CONDITIONS")
1. General
1.1 Prolab Sports GmbH produces sporting goods (subsequently „products“) and sells these to customers (subsequently „customer“ or „customers“) over various sales channels. (Nr. 1.2).
1.2 The subject of these terms and conditions is the sale of products produced by Prolab Sports GmbH, which can occur through the following sales channels: the website https://www.prolabsports.com/ (subsequently „web shop“) or through other types of communication with Prolab Sports GmbH (phone, e-mail, text, etc.). The consent to these terms and conditions occurs by ordering one or more products over the above mentioned sales channels. When ordering products from Prolab Sports GmbH, the customer can be asked to give repeated consent to these terms and conditions by clicking a corresponding confirmation field.
1.3 Different conditions are only valid, if they were explicitly agreed upon in writing by Prolab Sports GmbH and the buyer. All agreements and legally relevant statements of the parties have to be in writing in order to be valid.

3. Changes of the Terms and Conditions
These terms and conditions can be looked up, printed, or locally stored by the customer at all times on the website www.prolabsports.com. The version of the terms and conditions published on the website at the time of ordering is decisive. We reserve the right to make changes to the terms and conditions at any time.
4. Contract
4.1 Order by the Customer
The product overview granted by the web shop of Prolab Sports GmbH or other channels, is a non-binding invitation to order products and does not constitute a legally binding contract offer by Prolab Sports GmbH. The customer makes his selection over a corresponding sales channel. The selection will be communicated with Prolab Sports GmbH in the web shops shopping cart or elsewhere. With the order placement, the customer submits his binding offer to purchase the selected products.
4.2 Registration
4.2.1 The customer has the option to register in the web shop and open a customer account. The registration in the web shop is free. Entitlement to gain access to the web shop does not exist. The data required for registration must be provided by the customer completely and truthfully. The customer is responsible for keeping his data up to date. The customer is obligated to treat his personal access information confidentially and will not make them available to any third parties.
4.2.2 An e-mail containing a newsletter or promotional information can be sent several times a month to the e-email address provided at registration. The customer can unsubscribe from this e-mail list at any time with one click on the corresponding link in the e-mail.
4.3 Ordering as a Guest
4.3.1 The customer has the option to waive registration and complete orders as a guest. The customer is responsible to complete the required data completely and truthfully. An e-mail containing a newsletter or promotional information can be sent several times a month to the e-email address provided at the time of order. The customer can unsubscribe from this e-mail list at any time with one click on the corresponding link in the e-mail.
4.4 Order Confirmation
With orders through the web shop or through another outlet, after completing the order, customers receive a confirmation e-email or are notified through the same way as the order was placed. This does not express an acceptance of the offer by Prolab Sports GmbH and does not constitute a legally binding contract.
4.5 Acceptance by Prolab Sports GmbH
The purchase agreement between the customer and Prolab Sports GmbH comes in effect only after the product was sent to the customer, made available or handed over. Shipping, availability or handing over occurs only after Prolab Sports GmbH receives the customer's payment, regardless the kind of the payment.
4.6 Reserved rights and withdrawal of Prolab Sports GmbH
4.6.1 The contract is subject to the availability of products. If the product ordered by the customer is not available in the desired quantity or at the stated price in the web shop, we will inform the customer as soon as possible. In case of typing, printing or arithmetic errors on the homepage, Prolab Sports GmbH is entitled to withdraw without any charges. Any amounts paid will be refunded immediately.
4.6.2 If a product cannot be delivered despite billing occurred, the customer will be reimbursed the paid amount immediately. In case of non delivered- or shortened products, the customer is not entitled to any real- or damage claim.
5. Pricing and Shipping costs
5.1 All prices stated in the web shop or otherwise are in US dollars including VAT.
5.2 When shipping, additional costs for postage and packaging might be added to the indicated price. The exact shipping costs are displayed during the ordering process. Shipping occurs in a large envelope through PostPac economy, priority with tracking or priority with tracking and insurance.
5.3 Any customs and other fees are not included in the prices, and unless otherwise stated, they will be billed separately to the customer. (see below pt. 8.2.1).
6. Payment
6.1 The payment for ordered goods is made in advance, either by credit card or PayPal. For online payments, the value of the goods will be charged on the day the order is received. The transaction of online payments will be completed through the company PayPal or Stripe. For the payment transaction their terms and conditions and privacy policy apply.

The information on credit cards or PayPal is saved so that it will be available for further payment transactions.
6.2 The customer receives an invoice upon delivery. This also serves as a delivery note.
7. Delay of Payment
7.1 In case of a late payment, Prolab Sports GmbH is entitled to charge a fee of USD$ 20.00 with an additional interest of 5%.
7.2 Prolab Sports GmbH reserves the right to withdraw from the contract and demand the return of the products if the buyer delays any of the agreed upon services owed.
8. Delivery
8.1 Delivery Area
Deliveries are limited to areas listed in the online shop. In individual cases, Prolab Sports GmbH can also deliver to additional countries upon agreement. Prolab Sports GmbH reserves the right not to deliver to certain countries or not to agree to a contract.
8.2 Customs
8.2.1 In case of an international delivery or delivery outside of Switzerland, customs-, import- or other fees may arise. Unless otherwise specified, these fees are entirely at the expense of the customer.
8.2.2 The buyer knows the import regulations of the importing country, especially import restrictions and is responsible for the compliance.
8.2.3 In connection with importing goods to any other country than Switzerland, Prolab Sports GmbH is only responsible for correct declaration of products.
8.3 Delivery Time
8.3.1 The delivery times stated in the web shop depend on the availability of the ordered goods and are not binding in any case.
8.3.2 Prolab Sports GmbH does their best to stay within the delivery times stated on the website and to keep the respective information regarding delivery times and availability of products up to date.
8.3.3 Prolab Sports GmbH excludes any liability for late deliveries within the legal limit.
8.3.4 The delivery time will be appropriately extended if the information required for the execution of the order will be changed.
8.4 Delivery and Billing Addresses
8.4.1 Products will be delivered to the address specified by the customer at the placement of the order subject to the restrictions in section 8.1.
8.4.2 Prolab Sports GmbH is not liable for checking the address data provided by its customers for accuracy or correctness and is in no case liable for costs that may arise due to incorrectly or incompletely specified delivery or billing addresses.
8.5 Force Majeure
Events that prevent the fulfillment of contractual obligations of Prolab Sports GmbH, do not justify any liability of Prolab Sports GmbH, if these events are out of our control or out of the control of our contractual partners, delivery services or subcontractors. Force majeure events include events of a higher power, partial or complete destruction of manufacturing sites, shortage of raw materials, war, mobilization, insurrection, civil unrest, revolutions, government orders, fire, epidemics, quarantines, storms and other natural disasters, trade embargoes and other trade restrictions, or any other event that is considered a force majeure event in accordance of international standards.
9. Transfer of Risk
9.1 The risk of the accidental loss of products is transferred to the buyer as soon as the products have been handed over to the Swiss postal service or the selected transport provider in individual cases.
9.2 If the shipping is insured, all risk of loss or damage of products upon delivery (or by third parties acting for the buyer) is transferred to the buyer.
10. Warranty and Liability
10.1 Prolab Sports GmbH subjects all products to a quality control at the time of procurement or production. Should there be any defects nonetheless on the delivered goods, the customers are obligated to report these in writing within 8 days after delivery. After returning the defective goods, the customer will receive a replacement. If a substitute delivery is not possible, Prolab Sports GmbH will reimburse the payment. In addition, any claim for reduction, conversion or compensation for consequential damage is excluded to the extent permitted by law. The customer forfeits any warranty rights in case of improper use of the goods.
10.2 Prolab Sports GmbH shall only be liable for damages to the customer, if they were caused intentionally or grossly negligently. Prolab Sports GmbH is not liable for damage caused by helping people. Any further liability, particularly for all types of consequential and indirect damage is excluded to the extent permitted by law.
11. Data Protection
11.1 The collection, processing and storage of data happen exclusively in accordance with data protection law. Detailed information can be found at www.prolabsports.com under Privacy Policy (https://www.prolabsports.com/data-protection).
11.2 All personal data will be treated confidentially. Data necessary for the transaction will be saved and forwarded to companies affiliated with the ordering process. Address data can also be used for information, product or marketing purposes, to which the customer can opt out at any time. Furthermore, Prolab Sports GmbH may request data for credit verification from corresponding service provides.
11.3 Web controlling technologies collect and store data in an anonymous fashion for marketing and optimization purposes on this website.
11.4 By completing an online order, the customer accepts the future electronic delivery of information and advertising mail. This consent can be revoked at any time through e-mail, letter, phone or by clicking the unsubscribe link.
12. Data Security
A suitable security technology is used to protect customer data from unauthorized editing. However, no liability can be accepted for the security of data transmitted over the Internet. The transmission of the data can occur unencrypted.
13. Severability Clause
Should any provision of these terms and conditions be, or become invalid, the remainder of the terms will not be affected. Invalid provisions are to be replaced by valid provisions closest to their economic purpose. The same procedure must be followed if there is a contract void or if a provision is not applicable.
14. Applicable Law and Jurisdiction
14.1 Swiss substantive law is applicable to all relationships between Prolab Sports GmbH and its customers. The application of the United Nations Convention on Contracts for the International Sale of Goods of April 11th 1980 (CISG) is excluded.
14.2 The exclusive place of jurisdiction for all disputes between parties resulting from or in connection with these terms and conditions is Landquart / Switzerland.

ALLGEMEINE GESCHÄFTSBEDINGUNGEN FÜR KÄUFER DER PROLAB SPORTS GMBH ("AGB")
1. Allgemeines
1.1 Die Prolab Sports GmbH stellt Sportartikel her (nachfolgend „Produkte“) und vertreibt diese an Kunden (nachfolgend „Kunde“ oder „Kunden“) über verschiedene Verkaufskanäle (Ziff. 1.2).
1.2 Gegenstand dieser AGB ist der Vertrieb der von der Prolab Sports GmbH hergestellten Produkte, welcher über die folgenden Verkaufskanäle erfolgen kann: Die Webseite https://www.prolabsports.com/ (nachfolgend „Webshop“) oder auf anderen Arten der Kommunikation mit der Prolab Sports GmbH (Telefon, E-Mail, SMS, usw.). Die Zustimmung zu diesen AGB erfolgt durch Bestellung eines oder mehrerer Produkte über die vorgenannten Verkaufskanäle. Der Kunde kann bei Bestellung von einzelnen Produkten von der Prolab Sports GmbH aufgefordert werden, seine Zustimmung zu diesen AGB mittels Anklicken eines entsprechenden Bestätigungsfeldes zu wiederholen.
1.3 Anderslautende Bedingungen haben nur Gültigkeit, soweit sie von der Prolab Sports GmbH und dem Käufer ausdrücklich und schriftlich vereinbart worden sind. Alle Vereinbarungen und rechtserheblichen Erklärungen der Vertragsparteien bedürfen zu ihrer Gültigkeit der Schriftform.
2. Vertragspartner

3. Änderung der AGB
Diese AGB können jederzeit durch den Kunden auf der Webseite www.prolabsports.com abgerufen, ausgedruckt oder lokal abgespeichert werden. Massgebend ist die zum Zeitpunkt der Bestellung auf der Webseite publizierte Fassung der AGB. Änderungen der AGB sind jederzeit vorbehalten.
4. Vertragsabschluss
4.1 Bestellung durch den Kunden
Die über den Webshop der Prolab Sports GmbH oder anderweitig gewährte Übersicht über die Produkte gilt lediglich als unverbindliche Einladung Produkte zu bestellen und stellt kein rechtlich bindendes Vertragsangebot der Prolab Sports GmbH dar. Der Kunde trifft seine Auswahl über den entsprechenden Verkaufskanal. Die getroffene Auswahl wird entweder im Warenkorb des Webshops oder anderweitig der Prolab Sports GmbH mitgeteilt. Mit der Bestellung unterbreitet der Kunde sein verbindliches Angebot zum Bezug der ausgewählten Produkte.
4.2 Registrierung
4.2.1 Der Kunde hat die Möglichkeit, sich im Webshop zu registrieren und ein Benutzerkonto zu eröffnen. Die Registrierung im Webshop erfolgt kostenlos. Ein Anspruch auf Zulassung zum Webshop besteht nicht. Die für die Registrierung erforderlichen Daten sind vom Kunden vollständig und wahrheitsgemäss anzugeben. Der Kunde ist selbst für eine Aktualisierung seiner Daten verantwortlich. Der Kunde ist verpflichtet, die persönlichen Zugangsdaten vertraulich zu behandeln und unbefugten Dritten nicht zugänglich zu machen.
4.2.2 An die bei der Registrierung angegebene E-Mail Adresse kann mehrmals pro Monat eine E-Mail mit Neuigkeiten oder besonderen Promotionen gesendet werden. Von dieser E-Mail kann sich der Kunde mit einem Klick auf den entsprechenden Link in der E-Mail jederzeit abmelden.
4.3 Bestellung als Gast
4.3.1 Der Kunde hat die Möglichkeit, auf eine Registrierung zu verzichten und Bestellungen als Gast vorzunehmen. Der Kunde ist verantwortlich, die dabei erforderlichen Daten vollständig und wahrheitsgemäss anzugeben. An die bei der Bestellung angegebene E-Mail Adresse kann mehrmals pro Monat eine E-Mail mit Neuigkeiten oder besonderen Promotionen gesendet werden. Von dieser E-Mail kann sich der Kunde mit einem Klick auf den entsprechenden Link in der E-Mail jederzeit abmelden.
4.4 Bestellbestätigung
Bei Bestellung über den Webshop oder wenn der Kunde anderweitig eine Bestellung abgibt, erhält der Kunde nach Abschluss des Bestellvorgangs eine Bestellbestätigung per E-Mail oder auf demselben Weg wie die Bestellung abgegeben worden ist. Diese stellt ausdrücklich keine Annahme des Angebots durch die Prolab Sports GmbH dar und begründet keinen rechtlich bindenden Vertrag.
4.5 Annahme durch die Prolab Sports GmbH
Der Vertrag über den Erwerb eines Produkts zwischen dem Kunden und der Prolab Sports GmbH kommt erst zustande, wenn das Produkt an den Kunden versandt, zugänglich gemacht oder ausgehändigt worden ist. Der Versand, die Zugänglichmachung oder die Aushändigung erfolgen erst nach Eingang der Zahlung des Käufers bei der Prolab Sports GmbH und zwar unabhängig von der Art der Zahlung.
4.6 Vorbehalt und Rücktritt der Prolab Sports GmbH
4.6.1 Der Vertragsschluss erfolgt unter dem Vorbehalt der Verfügbarkeit der Produkte. Ist das vom Kunden bestellte Produkt nicht in der gewünschten Menge oder zu dem im Webshop angegebenen Preis verfügbar, so machen wir dem Kunden so rasch wie möglich eine entsprechende Mitteilung. Bei Schreib-, Druck- und Rechenfehlern auf der Homepage ist die Prolab Sports GmbH zum kostenlosen Rücktritt berechtigt. Bereits erbrachte Gegenleistungen werden unverzüglich zurückerstattet.
4.6.2 Wenn ein Produkt trotz Verrechnung nicht geliefert werden kann, wird dem Kunden der entsprechende Betrag unverzüglich zurückerstattet. Dem Kunden steht bei gekürzten oder nicht gelieferten Produkten weder ein Real- noch ein Schadenersatzanspruch zu.
5. Preise und Versandkosten
5.1 Alle im Webshop oder anderweitig angegebenen Preise sind in US-Dollar inklusive der gesetzlichen Mehrwertsteuer.
5.2 Bei Versand können weitere Kosten für Porto und Verpackung zum angegebenen Preis hinzukommen. Die genauen Versandkosten werden im Bestellprozess angezeigt. Der Versand erfolgt mit Maxibriefen per PostPac Economy, Priority mit Tracking oder Priority mit Trackig und Versicherung.
5.3 Allfällige Zoll- und andere Gebühren sind in den Preisen nicht inkludiert und werden, sofern nichts anderes vereinbart wird, dem Kunden separat in Rechnung gestellt (siehe unten Rz. 8.2.1).
6. Zahlung
6.1 Die Bezahlung der bestellten Waren erfolgt im Voraus, wahlweise per Kreditkarte oder Paypal. Bei Onlinezahlungen wird der Warenwert am Tag des Bestellungseinganges belastet. Die Abwicklung der Zahlung im Onlineshop erfolgt über die Firma PAYPAL und die Firma STRIPE. Es gelten für die Zahlungsabwicklung deren Geschäftsbedingungen und Datenschutzbestimmungen. Diese sind unter www.paypal.com (Privacy Policy: https://www.paypal.com/webapps/mpp/ua/privacy-full, Legal: https://www.paypal.com/webapps/mpp/ua/legalhub-full) www.stripe.com (Privacy Policy: https://stripe.com/fr/privacy, Legal: https://stripe.com/ssa) verfügbar. Die Informationen zu den Kreditkarten oder Paypal werden gespeichert, damit sie für weitere Zahlungsvorgänge zur Verfügung stehen.
6.2 Mit der Lieferung erhält der Kunde eine Rechnung. Diese dient als Lieferschein.
7. Zahlungsverzug
7.1 Bei Zahlungsverzug ist die Prolab Sports GmbH berechtigt, einen Unkostenbeitrag von USD$ 20.00 zuzüglich eines Verzugszinses von 5% p.a. zu erheben.
7.2 Die Prolab Sports GmbH behält sich das Recht vor, vom Vertrag zurückzutreten und die Rücksendung der Produkte zu verlangen, falls der Käufer in Verzug mit einer nach der Vereinbarung geschuldeten Leistungen geraten ist.
8. Lieferung
8.1 Liefergebiet
Die Lieferungen beschränken sich auf die im Onlineshop aufgelisteten Gebiete. Die Prolab Sports GmbH kann nach Absprache in Einzelfällen in weiteren Ländern liefern. Die Prolab Sports GmbH behält sich das Recht vor, in gewissen Ländern nicht zu liefern und keinen Vertrag abzuschliessen.
8.2 Zoll
8.2.1 Bei internationaler Lieferung bzw. bei Lieferung in ein Gebiet ausserhalb der Schweiz können Zoll-, Import- oder andere Gebühren anfallen. Ist nichts anderes bestimmt worden, gehen diese vollumfänglich zu Lasten des Käufers.
8.2.2 Der Käufer kennt die Importbestimmungen, insbesondere allfällige Einfuhrbeschränkungen, des Importlandes und ist für deren Einhaltung verantwortlich.
8.2.3 Im Zusammenhang mit dem Import der Waren in ein anderes Land als die Schweiz ist die Prolab Sports GmbH nur für die korrekte Deklaration der Produkte verantwortlich.
8.3 Lieferfrist
8.3.1 Die im Webshop angegebenen Lieferfristen sind von der Verfügbarkeit der bestellten Waren abhängig und in jedem Fall nicht verbindlich.
8.3.2 Prolab Sports GmbH bemüht sich, die auf der Bestellseite angegebenen Lieferfristen nach Möglichkeit einzuhalten und die jeweiligen Angaben im Webshop zu Lieferfristen und Verfügbarkeit der Produkte aktuell zu halten.
8.3.3 Prolab Sports GmbH schliesst sämtliche Haftung im gesetzlich zulässigen Rahmen für verspätete Lieferungen aus.
8.3.4 Die Lieferfrist wird angemessen verlängert wenn die Angaben, die für die Ausführung der Bestellung benötigt werden, nachträglich abgeändert werden.
8.4 Lieferungs- und Rechnungsadressen
8.4.1 Die Produkte werden an die vom Kunden bei der Bestellung angegebene Adresse geliefert unter Vorbehalt der Einschränkungen gemäss Ziffer 8.1.
8.4.2 Die Prolab Sports GmbH ist nicht verpflichtet, die vom Kunden angegebenen Adressdaten auf Genauigkeit oder Richtigkeit hin zu überprüfen und haftet in keinem Fall für Kosten die entstehen aufgrund von fehlerhaft oder unvollständig angegebenen Liefer- oder Rechnungsadressen.
8.5 Force Majeure
Ereignisse, die eine vertragsgemässe Erfüllung von vertraglichen Pflichten von Prolab Sports GmbH verhindern, begründen keinen Verzug und keine Haftung von Prolab Sports GmbH, sofern diese Ereignisse ausserhalb unseres Einflussbereichs oder demjenigen von unseren Vertragspartnern, Lieferanten oder unseren Subunternehmern liegen. Als solche Force Majeure-Ereignisse gelten u.a. Ereignisse höherer Gewalt, teilweise oder vollständige Zerstörung von Produktionsstätten, Rohstoffmangel, Krieg, Mobilmachung, Aufstand, ziviler Ungehorsam Revolution, behördliche Verfügungen, Feuer, Epidemien, Quarantäneauflagen, Unwetter und sonstige Elementarereignisse, Handelsembargos oder andere Handelsbeschränkungen oder jedes andere Ereignis, das nach internationalen Standards und Gepflogenheiten als Force Majeure-Ereignis gilt.
9. Gefahrenübergang
9.1 Die Gefahr für den zufälligen Untergang der Produkte geht auf den Käufer über, sobald die Produkte der schweizerischen Post oder dem im Einzelfall gewählten Transportdienstleister übergeben worden sind.
9.2 Beim Versand mit Versicherung werden alle Verlustrisiken oder Beschädigungen der Produkte bei Lieferannahme (oder von Personen, die für den Käufer handeln) an den Käufer übertragen.
10. Gewährleistung und Haftung
10.1 Die Prolab Sports GmbH unterzieht alle Artikel bei der Herstellung oder der Beschaffung einer Qualitätskontrolle. Sollten trotzdem Mängel an der gelieferten Ware vorhanden sein, hat der Kunde die Pflicht, innert 8 Tagen nach Lieferung die Mängel schriftlich zu melden. Nach Rücksendung der mangelhaften Ware erhält der Kunde eine Ersatzlieferung. Ist keine Ersatzlieferung möglich, erstattet die Prolab Sports GmbH die geleistete Zahlung. Darüber hinaus ist jeder Anspruch auf Minderung, Wandelung oder Schadenersatz für Mangelfolgeschäden, soweit gesetzlich zulässig, ausgeschlossen. Der Kunde verwirkt allfällige Mängelrechte bei unsachgemässem Gebrauch der Ware.
10.2 Die Prolab Sports GmbH haftet nur für Schäden des Kunden, die sie vorsätzlich oder grob fahrlässig herbeigeführt hat. Die Prolab Sports GmbH haftet nicht für Schäden, die durch Hilfspersonen verursacht worden sind. Eine weitergehende Haftung, insbesondere für alle Arten von Folgeschäden und indirekten Schäden, ist, soweit gesetzlich zulässig, ausgeschlossen.
11. Datenschutz
11.1 Die Erhebung, Verarbeitung und Speicherung von Daten erfolgt ausschliesslich nach den Vorgaben des anwendbaren Datenschutzrechts. Genaue Informationen finden Sie auf der Webseite www.prolabsports.com unter Privacy Policy (https://www.prolabsports.com/data-protection).
11.2 Alle persönlichen Daten werden vertraulich behandelt. Für die Geschäftsabwicklung notwendige Daten werden gespeichert und im Rahmen der Bestellabwicklung gegebenenfalls an verbundene Unternehmen weitergeleitet. Adressdaten können auch zu Informationszwecken bzgl. der Produkten oder Werbezwecken genutzt werden, wobei der Käufer dieser Verwendung der Daten jederzeit widersprechen kann. Im Übrigen kann die Prolab Sports GmbH zum Zwecke der Kreditprüfung Daten bei entsprechenden Dienstleistern abfragen.

13. Salvatorische Klausel
Sollte eine Bestimmung dieser AGB nichtig oder ungültig sein oder werden, wird der übrige Teil der AGB davon nicht berührt. Nichtige oder ungültige Bestimmungen sind durch solche wirksame zu er-setzen, die ihrem wirtschaftlichen Zweck am nächsten kommen. In gleicher Weise ist zu verfahren, wenn sich eine Vertragslücke ergibt oder sich eine Bestimmung als undurchführbar erweist.
14. Anwendbares Recht und Gerichtsstand
14.1 Schweizerisches materielles Recht ist anwendbar auf sämtliche rechtlichen Beziehungen zwischen Prolab Sports GmbH und den Kunden. Die Anwendung des Übereinkommens der Vereinten Nationen über Verträge über den internationalen Warenkauf vom 11. April 1980 (CISG) ist ausgeschlossen.
14.2 Ausschliesslicher Gerichtsstand für alle Streitigkeiten zwischen den Parteien die sich aus oder im Zusammenhang mit den vorliegenden Allgemeinen Geschäftsbedingungen ergeben, ist Landquart / Schweiz.
